1. Acceptance of Terms

These Terms and Conditions (Terms) govern your access to and use of the website located at aimission.us, any learning platform or subdomain operated by Aligned Impact Mission (including learn.aimission.us), and any related services, content, or programs (collectively, the "Site") offered by Aligned Impact Mission (AIM), a California nonprofit organization. By accessing or using the Site, making a donation, registering for a program, or otherwise interacting with AIM, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, please do not use the Site.

2. Eligibility

You must be at least 18 years old, or have the consent of a parent or legal guardian, to use the Site, make a donation, or register for a program. By using the Site, you represent that you meet this requirement.

3. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable federal, state, or local law or regulation.

  • Attempt to gain unauthorized access to any portion of the Site, other accounts, or computer systems

    connected to the Site.

  • Upload or transmit viruses, malware, or any other malicious code.

  • Impersonate AIM, its staff, volunteers, or any other person or entity.

  • Harvest, scrape, or otherwise collect information about other users without their consent.

  • Use the Site to harass, defame, or defraud any person, or to post content that is unlawful, obscene, or

    otherwise objectionable.

AIM reserves the right to suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to AIM, other users, or third parties.

4. Donations

AIM is a nonprofit organization, and donations made through the Site are intended to support our charitable mission. Donations are processed by third-party payment processors, and by donating you agree to the applicable processor's terms of service. Except as otherwise required by law, donations are non-refundable. AIM will make reasonable efforts to honor any donor restrictions on the use of a gift consistent with our mission and applicable law, but AIM retains discretion over the allocation of undesignated funds. Donation receipts for tax purposes will be provided consistent with applicable Internal Revenue Service requirements once AIM's tax-exempt status is finalized.

5. Programs, Content, and Learning Platform

AIM may provide educational content, courses, workshops, or materials (including through a learning subdomain) for informational and community-benefit purposes only. Such content does not constitute professional, medical, psychological, legal, or financial advice, and should not be relied upon as a substitute for consultation with a qualified professional. AIM makes no representation that any program or content is complete, current, or error-free.

6. Intellectual Property

All content on the Site, including text, graphics, logos, images, course materials, and software, is the property of AIM or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may view and download content for personal, non-commercial use only. You may not reproduce, distribute, modify, or create derivative works from any Site content without AIM's prior written consent, except as permitted by applicable fair use law.

If you submit any content to the Site (such as comments, testimonials, or program materials), you grant AIM a non- exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with AIM's mission and operations.

7. Third-Party Links and Services

The Site may contain links to third-party websites or services that are not owned or controlled by AIM. AIM is not responsible for the content, privacy practices, or terms of any third-party site. Your use of any third-party site is at your own risk and subject to that site's own terms and policies.

8. Disclaimers

THE SITE AND ALL CONTENT, PROGRAMS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR- FREE. AIM DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY CONTENT ON THE SITE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW, AIM, ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF AIM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AIM'S TOTAL AGGREGATE LIABILITY FOR ANY

CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT, IF ANY, YOU PAID TO AIM IN THE SIX MONTHS PRECEDING THE CLAIM. NOTHING IN THIS SECTION IS INTENDED TO LIMIT LIABILITY IN CIRCUMSTANCES WHERE SUCH LIMITATION IS PROHIBITED BY CALIFORNIA LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless AIM and its directors, officers, employees, volunteers, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in California, and you consent to the personal jurisdiction of such courts. Before initiating any formal legal proceeding, the parties agree to attempt in good faith to resolve any dispute through informal negotiation by contacting AIM using the information in Section 14.

12. Termination

AIM may suspend or terminate your access to all or part of the Site at any time, with or without cause and with or without notice. Provisions of these Terms that by their nature should survive termination (including Sections 6, 8, 9, 10, and 11) shall survive.

13. Changes to These Terms

AIM may revise these Terms from time to time. Material changes will be posted on the Site with an updated effective date. Your continued use of the Site after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
